1. Definitions

• Kindrid / We / Us / Our — Kindrid, a search consultancy based at 11/F, 100 Queen's Road Central, Central, Hong Kong
• User / You — any person or organization using this website or engaging our services
• Services — the retained search, hiring process review, and candidate experience audit services described on this website
• Engagement Agreement — the written scope and fee agreement entered into for a specific engagement
• Content — all written materials, reports, market maps, assessment notes, and other outputs produced by Kindrid

2. Acceptance of Terms

By using this website or engaging our services, you agree to these terms. If you are entering into an Engagement Agreement on behalf of an organization, you represent that you have the authority to bind that organization. Our services are available to individuals who are 18 years of age or older.

3. Service Description

Kindrid provides retained search consultancy services and hiring advisory services to organizations in the legal sector, principally in Hong Kong. The specific scope and deliverables for each engagement are agreed in writing before work begins. The website describes our general service offerings; it does not constitute a binding offer of service.

We reserve the right to decline to take on an engagement at our discretion, including where we consider the brief unsuitable for our approach or where a conflict of interest exists.

4. Engagement Terms

4.1 Scope and fees

Each engagement is governed by an Engagement Agreement that specifies the scope, deliverables, timeline, and fee. The fee is agreed before work begins. Fees are denominated in Hong Kong Dollars unless otherwise specified in the Engagement Agreement.

4.2 Payment

Payment terms are set out in the Engagement Agreement. Where a retainer is agreed, it is payable at the start of the engagement. Additional stages or phases are invoiced as described in the Agreement. Invoices are payable within fourteen days of issue unless otherwise agreed.

4.3 Changes to scope

Changes to agreed scope are discussed and documented in writing before additional work is undertaken. We do not expand scope without a written variation to the Engagement Agreement.

4.4 Confidentiality

We treat all information shared by clients in connection with an engagement as confidential. Client information is not shared with third parties other than in the performance of the engagement and with the client's knowledge. Where candidate information is shared with clients, it is done on the basis described in our Privacy Policy.

5. User Responsibilities

When using this website, you agree not to:

• Submit false or misleading information through any form or enquiry
• Use the site in any manner that could damage, impair, or overburden our systems
• Attempt to access parts of the site that are not intended for general access
• Use automated tools to collect information from the site without our consent

When engaging our services, you agree to provide accurate information required for the engagement and to act in good faith in relation to the engagement process.

6. Intellectual Property

All written outputs produced by Kindrid in connection with an engagement — including scope documents, market maps, progress reports, and assessment notes — are owned by Kindrid until full payment of fees has been received, at which point ownership transfers to the client for the purposes described in the Engagement Agreement.

All content on this website, including text, design, and structural elements, is owned by Kindrid. You may not reproduce or distribute website content without our written permission. Limited quotation for reference purposes is acceptable with attribution.

7. Disclaimers

We provide our services with reasonable care and skill. We do not represent that any search engagement will result in a hire, that any candidate presented will accept an offer, or that advisory recommendations will produce specific outcomes. Search outcomes depend on many factors outside our control, including market conditions, client decision-making, and candidate choices.

This website is provided for informational purposes. The content does not constitute legal, financial, or professional advice.

8. Limitation of Liability

To the extent permitted by Hong Kong law, Kindrid's liability to you in connection with any engagement or use of this website is limited to the fees paid for the relevant engagement in the twelve months preceding the claim. We are not liable for indirect, consequential, or incidental losses, including lost profits or lost business opportunities.

Nothing in these terms limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify Kindrid against any claims, losses, or costs arising from your breach of these terms, your provision of false or misleading information, or your unlawful use of this website.

10. Termination

Either party may terminate an Engagement Agreement by written notice as specified in that Agreement. Where an engagement is terminated before completion, fees for work completed to the date of termination are payable. Termination does not affect confidentiality obligations or any other terms that are intended to survive termination.

We may suspend or terminate access to this website for any user who we reasonably believe is using it in breach of these terms.

11. Dispute Resolution

These terms are governed by the laws of Hong Kong. In the event of a dispute, the parties agree to attempt to resolve it through good-faith discussion before commencing any formal process. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of Hong Kong.

12. General Provisions

Entire agreement. These terms, together with any applicable Engagement Agreement, constitute the entire agreement between the parties in relation to their subject matter and supersede prior discussions or arrangements.

Severability. If any provision of these terms is found to be unenforceable, the remaining provisions continue in effect.

Waiver. Failure to enforce any provision does not constitute a waiver of the right to enforce it later.

Assignment. You may not assign your rights under these terms without our written consent. We may assign our rights to a successor entity without your consent.

13. Changes to These Terms

We may update these terms from time to time. The current version will always be available at this URL. Continued use of this website or engagement of our services after an update constitutes acceptance of the revised terms. We will notify parties with active Engagement Agreements of material changes by email.
